Eric Hess
Eric Hess is the founder of Hess Legal, a boutique law firm specializing in securities regulation, technology transactions, and corporate law for innovative, growth-oriented companies. With over thirty years of experience as senior in-house counsel, general counsel, and senior management for exchanges, broker-dealers, and financial technology providers, Eric brings a deep understanding of the complex regulatory landscape that shapes the financial and technology sectors.
Eric advises broker-dealers, investment advisers, and exempt reporting advisers on formation, registration, and compliance matters, including regulatory filings, trading rules, and compliance with key regulations such as Regulation Best Interest (Reg BI), Customer Relationship Summary (Form CRS), and anti-money laundering (AML) requirements. He also has extensive experience in private fund formation, drafting Private Placement Memorandums (PPMs), Limited Partnership Agreements (LPAs), and Investor Subscription Documents, ensuring compliance with SEC, FINRA, and state regulations.
Eric is well-versed in navigating digital asset regulations, guiding clients on the structuring of digital asset and cryptocurrency transactions, compliance with security and privacy laws, and the development of smart contracts. He has authored several articles on digital asset trading, providing thought leadership in this rapidly evolving field.
As the founder of Helical, a cybersecurity SaaS platform, Eric developed and launched products focused on cybersecurity, privacy, and vendor risk management. He previously hosted The Encrypted Economy podcast, where he facilitated discussions on the intersection of law, regulation, and technology with leading experts in data science, digital assets, and cybersecurity.

Andy Greenstein
Andy Greenstein has twenty five years of Wall Street experience acting as general counsel, senior in-house counsel, or executive management for registered investment advisers and broker dealers. He has worked for public and private financial services companies of all sizes and has extensive experience with emerging and start-up companies. Mr. Greenstein’s primary areas of focus are corporate transactions and structuring, capital raising activities and corporate matters. He also has significant experience in C-Suite leadership roles. Mr. Greenstein’s proven ability to leverage his legal acumen with strong business background allows him to provide clients with effective pragmatic and/or innovative solutions to complex legal and business problems while mitigating risk.
